Welcome to COT Group Ltd (COTGroup). By engaging our services, you agree to comply with and be bound by the following Terms of Service. These Terms apply to all of our services, including SEO, digital marketing, web design, media production, and any other related services (“Services”). If you do not agree with these Terms, please do not engage with us or use our Services.
1. General Terms
Agreement: When you engage COTGroup’s Services, whether through email, phone, or any other method, you enter into a binding agreement with us. Any changes or additional services requested outside the original agreement will require written confirmation.
Scope of Work: We will define the scope of work for each project. This may include SEO, digital strategy, media production, content creation, or web development. Any changes to this scope will be documented and may result in additional costs.
Responsibilities of the Client: You are responsible for providing accurate, up-to-date information necessary for us to carry out the agreed Services. This includes, but is not limited to, access credentials, relevant files, and other resources required for project completion.
Ownership of Work: Upon full payment for the Services, all intellectual property (including designs, codes, graphics, content, and reports) created by COTGroup for the Client will be transferred to the Client. However, COTGroup retains the right to showcase the work in our portfolio, marketing materials, or for educational purposes.
Confidentiality: We respect your privacy and treat all information shared with us as confidential. We will not disclose any information without your prior consent, except when required by law.
2. Payment and Fees
Invoicing: We will issue invoices for all Services. Payment terms are generally 7 days from the invoice date unless otherwise agreed. For new clients, we may require upfront payment or partial deposit before starting work.
Late Payments: Failure to settle invoices on time may result in a suspension of Services until the outstanding balance is cleared. If payment is not received within 14 days, additional fees or legal action may be taken to recover the amount owed.
Additional Costs: Any third-party services, licensing, or materials required to fulfill the project (such as hosting, software, etc.) will be invoiced separately and agreed upon in advance.
3. Service Availability
Downtime and Delays: While we strive to provide timely Services, there may be unavoidable delays due to third-party service providers, technical issues, or external factors (e.g., hosting services, internet issues, or force majeure events). We are not liable for any loss or disruption caused by such delays.
Client Obligations: For SEO, web development, or other digital services, you are responsible for ensuring that your website or platform is accessible and functional for our team to carry out the agreed work. If your website or platform is unavailable due to issues like server downtime or technical failure, we are not liable for the delay.
4. Service Limitations
No Guaranteed Results: While COTGroup uses best practices in SEO and digital marketing, we cannot guarantee specific results, such as exact ranking positions or traffic volume. Search engine algorithms are constantly evolving, and results may vary over time.
Content and Campaign Approvals: The Client is responsible for reviewing all content (such as blog posts, advertisements, or SEO materials) provided by COTGroup within a reasonable timeframe (usually 7 days). If no feedback is received within this time, we may proceed with publication or further action.
Third-Party Services: COTGroup may recommend third-party tools or services to complement our work, such as advertising platforms or analytics tools. We are not responsible for the actions, costs, or issues arising from these third-party services.
5. Term and Termination
Project Duration: The timeline for each project will be outlined at the beginning of the agreement. COTGroup will make reasonable efforts to meet deadlines, but delays may occur due to factors outside our control. Both parties will be kept informed of any changes in timelines.
Termination by Client: You may cancel the Services at any time with a written request. However, any work completed prior to cancellation is billable, and any outstanding invoices must be settled within 7 days of cancellation.
Termination by COTGroup: If at any time we determine that the project is no longer feasible due to non-payment, lack of cooperation, or violation of terms, we may terminate the agreement and cease all work, retaining any rights to payment for services rendered.
6. Liability and Disclaimers
Limitation of Liability: COTGroup will not be liable for any indirect, incidental, or consequential damages, including loss of profits, business interruption, or data loss. Our total liability is limited to the fees paid by the Client for the specific Services involved.
Security and Data Breaches: While we take measures to protect your data and accounts, COTGroup is not responsible for any security breaches, data loss, or cyberattacks involving third-party platforms, including hosting services or advertising networks.
7. Intellectual Property and Usage Rights
Copyright: Unless otherwise specified, all materials provided by COTGroup, including designs, code, graphics, and other intellectual property, are the sole property of COTGroup until full payment has been made.
License to Use Work: Upon full payment, you are granted a non-exclusive, transferable license to use the deliverables for your business purposes. You may not resell or redistribute the deliverables without prior written consent from COTGroup.
8. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes related to these Terms will be subject to the exclusive jurisdiction of the courts in the UK.
Dispute Resolution: In the event of any disputes, both parties agree to attempt resolution through negotiation or mediation. If this is unsuccessful, the dispute may be resolved through legal action as per the governing laws.
9. Changes to These Terms
Modifications: COTGroup reserves the right to modify or update these Terms at any time. Any material changes will be communicated to the Client in writing, and the revised Terms will become effective immediately upon notification.
Client Acknowledgment: By continuing to engage our Services after the changes are made, you agree to be bound by the updated Terms. If you do not agree with the changes, you may choose to discontinue the Services.
These Terms represent the complete and exclusive understanding between COTGroup and the Client, superseding any prior agreements or communications.
